Limited Liability Company (LLC)

Best for: freelancers, online stores, agencies, local businesses, consultants, real estate investing and nonresident owners. More than 70% of new businesses choose this type of entity.

Advantages

  • Your personal assets stay separate from business debts, as long as you keep finances separate.
  • You set the internal rules in the Operating Agreement; no board of directors required.
  • One or many owners (members), including nonresident foreigners.
  • You choose how to be taxed: disregarded, partnership, S corp or C corp.

Drawbacks

  • Annual reports and state fees to keep it active.
  • It cannot go public, and many venture capital investors prefer a corporation.
  • In other countries it may be treated as a corporation, so check the rules where you live.

Taxes & compliance

  • By default it pays no federal tax of its own: profits pass through to the owner's return.
  • If the only owner is foreign, it files Form 5472 with a pro forma 1120 every year, even with no sales.
  • Keep the EIN, the registered agent, the state annual report and a bank account used only for the business.

For foreign owners: a nonresident can own a U.S. LLC; you do not need to be a resident or have an SSN to form one.

Corporation (S corp or C corp)

Best for: startups with investors, companies planning to raise capital or sell shares, and businesses seeking institutional credibility.

Advantages

  • C corpCan issue shares to founders, employees and investors; it is the format venture capital prefers.
  • C corpAllows unlimited shareholders, including foreigners.
  • Limited liability: your personal assets stay separate from the business.
  • A structure recognized internationally, with clear corporate governance.

Drawbacks

  • More administration: board of directors, minutes, annual meetings and a stock ledger.
  • Less flexibility than an LLC to run the business and distribute profits.
  • Annual state reports and fees, plus its own tax obligations.

Taxes & compliance

  • C corpPays federal corporate tax (a flat 21% rate) and dividends are taxed again at the shareholder: double taxation.
  • S corpAvoids double taxation, but its shareholders must be U.S. citizens or residents; it is not available with nonresident owners.
  • Keep bylaws, minutes and the stock ledger current; annual Form 1120, with Form 5472 if 25% or more is foreign-owned.

For foreign owners: a nonresident can be a shareholder of a C corp. An S corp, on the other hand, is not open to nonresident shareholders.

Nonprofit organization

Best for: foundations, churches, and community, educational or relief organizations.

Advantages

  • Built for a social, educational, religious or community mission, not for distributing profits.
  • Protects the personal assets of the people who run it, as long as it is managed properly.
  • With 501(c)(3) status it can be exempt from federal income tax and receive donations that are deductible for the donor.
  • Opens the door to grants that are only given to nonprofits.

Drawbacks

  • Forming it at the state level is not enough: the exemption requires a separate application to the IRS, with its own fee and timeline.
  • Surplus is not shared among the directors; it is reinvested in the mission.
  • More governance: a board of directors, bylaws, minutes and strict operating rules.

Taxes & compliance

  • Exempt from federal income tax only if the IRS approves the 501(c)(3) (Form 1023 or 1023-EZ).
  • Files an annual information return every year (Form 990, depending on size).
  • State annual report and, in some states, registration to solicit donations and a separate process for sales tax exemption.

Doing Business As (DBA)

Best for: operating under another trade name, testing an idea with little paperwork, or giving an existing company a second brand.

Advantages

  • An official business name without the upkeep of an LLC or corporation.
  • A simple, low-cost filing.
  • Useful for giving a second brand to an LLC or corporation you already own.
  • With the name registered, you can open accounts, sign contracts and get paid under it.

Drawbacks

  • A DBA is not a legal entity: it creates no personal liability protection.
  • For a sole proprietorship, your personal assets back the business debts.
  • It does not reserve the name nationwide and does not replace registering a trademark.

Taxes & compliance

  • It is not taxed on its own: for a sole proprietorship or partnership, profits go on your personal return (a single layer).
  • If the DBA belongs to an LLC or corporation, it is taxed as that entity.
  • Filed with the state or county, depending on where you are; it usually has to be renewed periodically and in some places requires publishing a notice.
